Terms of Service

These Terms of Service govern the provision of services by Bitvea, a brand of Relive AR s.r.o., to its clients. By engaging our services, you agree to these terms.

Service Provider

Services are provided by Relive AR s.r.o., registered in the Commercial Register maintained by the Regional Court in Ústí nad Labem, Section C, IČO: 19742444, with its registered office at Pražská 141/22, Liberec II-Nové Město, 460 01 Liberec, Czech Republic. Scope of Services

Bitvea provides custom software development, consulting, system integration, and related IT services as described on bitvea.com. The specific scope, deliverables, and timeline for each project are defined in a separate written agreement, proposal, or confirmed order between Bitvea and the client.

Contract Formation

A binding contract is formed upon mutual signing of a project agreement, written acceptance of a proposal, or confirmed purchase order. Submitting a contact form or scheduling a consultation does not constitute a binding agreement. All material terms, including scope, pricing, and timeline, must be agreed upon in writing before work begins.

Pricing and Fees

Pricing is determined on a per-project basis and communicated in the proposal or agreement. Bitvea may use fixed-price, milestone-based, or time-and-materials pricing depending on the project. All prices are quoted exclusive of VAT unless stated otherwise. The final price is confirmed in the signed agreement.

Payment Terms

Invoices are due within 14 days of issue unless otherwise agreed. Bitvea may require an advance payment before commencing work, as specified in the project agreement. Late payments may incur statutory interest as permitted by Czech law. Bitvea reserves the right to suspend work if payments are significantly overdue.

Intellectual Property

Upon full payment, the client receives ownership of all custom-developed deliverables as specified in the project agreement. Bitvea retains ownership of its pre-existing tools, frameworks, libraries, and methodologies used during the project. The client receives a perpetual, non-exclusive license to use any such pre-existing components as part of the delivered solution. Third-party components (open-source libraries, APIs) remain subject to their respective licenses.

Confidentiality

Both parties agree to treat as confidential any non-public information received from the other party during the course of the engagement. This obligation survives the termination of the agreement for a period of two years. Confidential information does not include information that is publicly available, already known to the receiving party, or independently developed without reference to the disclosing party's information.

Limitation of Liability

Bitvea's total liability for any claims arising from a project is limited to the total fees paid by the client for that project. Bitvea is not liable for indirect, consequential, or incidental damages, including lost profits, business interruption, or data loss. This limitation does not apply to damages caused by wilful misconduct or gross negligence.

Warranties and Support

Bitvea warrants that deliverables will materially conform to the agreed specifications for a period of 30 days after delivery (the warranty period). During this period, Bitvea will correct any confirmed defects at no additional cost. Beyond the warranty period, support and maintenance are available under a separate agreement. Bitvea does not guarantee uninterrupted or error-free operation of delivered software.

Termination

Either party may terminate the agreement with 30 days' written notice. In the event of a material breach by either party, the non-breaching party may terminate the agreement immediately upon written notice if the breach is not cured within 14 days of notification. Upon termination, the client pays for all work completed up to the termination date. Bitvea will deliver all completed work products upon receipt of outstanding payments.

Governing Law

These terms and any agreements governed by them are subject to the laws of the Czech Republic. Any disputes arising from or in connection with these terms shall be resolved by the competent courts in the Czech Republic.

Changes to These Terms

Bitvea may update these terms from time to time. The updated version will be published on this page with a revised date. Changes do not affect existing signed agreements, which remain governed by the terms in effect at the time of signing.
